Terms of Service
Welcome to Fruumo. Throughout these Terms of Service, "we", "us" and "our" mean Fruumo, a trading name of BS Commerce. We run this website and online store, along with the content, features, tools, products and services that together make up your shopping experience (collectively, the "Services"). Our store is built on Shopify, whose platform provides the technology that lets us bring the Services to you.
These Terms of Service, along with any policies they reference (the "Terms"), lay out what you can expect from us and what we expect from you whenever you use the Services.
Please give these Terms a proper read — they cover important legal ground, including disclaimers around warranties and limits on our liability.
By visiting, browsing, or otherwise using the Services, you're confirming that you accept these Terms and our Privacy Policy. If you'd rather not agree to them, please don't use the Services.
1. Access and Your Account
When you accept these Terms, you're confirming you're at least 18 (or the age of majority wherever you live). If a minor under your care uses the Services on a device you own or manage, responsibility for that use falls on you.
Shopping with us — even just browsing — may involve sharing details like your email address, billing information, payment details and delivery address. Whatever you give us, you're confirming it's accurate, current, complete, and that you're entitled to share it.
Protecting your login credentials is on you, and you're responsible for anything that happens under your account. Selling, transferring, assigning or licensing your account to someone else isn't allowed.
2. Our Products
We do our best to describe our products and services accurately across the store. That said, colours and finishes can appear differently depending on your screen, device or display settings.
We can't guarantee that what you receive will look or feel exactly as you pictured it, or match the online images precisely.
We reserve the right to change product descriptions at any point, without advance notice, and may pull a product from sale or cap the quantities available to any customer, region or jurisdiction, as we see fit.
3. Orders
When you place an order, you're making an offer to buy — one we're free to accept or turn down. Your order isn't confirmed until we've accepted it, and payment needs to clear before that happens. Double-check your order before submitting it, since changes or cancellations may not be possible once we've accepted it. Should we need to decline, alter or cancel your order, we'll try to reach you via the email, billing address or phone number you gave at checkout.
Returns and exchanges follow our Refund Policy and the statutory rights you're entitled to under UK consumer law.
You confirm that anything purchased from us is for personal or household use, not for reselling commercially or exporting.
4. Pricing and Payment
Prices, discounts and promotions are subject to change at any time without warning. Whatever price is shown when you place your order is the one that applies, and it'll be confirmed by email once your order goes through. UK VAT is included in our listed prices where relevant. Any delivery or handling fees, if they apply, show up separately at checkout before you finalise your purchase.
Our online prices might not match what's available through other channels, including other retailers. We occasionally run promotions with their own separate terms — if those clash with these Terms, the promotion's terms win out.
Every order requires accurate, up-to-date payment and account details from you, and you agree to keep that information current — email address and card details included — so we can process transactions and reach you if needed.
By providing payment details, you're confirming: (i) they're true, correct and complete; (ii) you're authorised to use that payment method; (iii) your provider will approve the charge; and (iv) you'll pay what's owed at the listed price, plus delivery and any applicable taxes.
5. Shipping and Delivery
Delivery windows are estimates, not guarantees. We won't be held responsible for delays from carriers, customs, or anything else outside our control — though as a consumer, the goods remain our responsibility (at our risk) until they reach you.
6. Intellectual Property
Everything that makes up the Services — trademarks, branding, text, images, graphics, reviews, video, audio, and how it's all arranged — belongs to Fruumo, its affiliates, or its licensors, and is protected under Belgian, UK and international intellectual property law.
These Terms let you use the Services for personal, non-commercial purposes only. Copying, reproducing, distributing, modifying, adapting, republishing, downloading, storing, transmitting or publicly displaying any material from the Services requires our written permission first. Nothing here grants you any rights to our trademarks, copyrights, patents or other intellectual property — or that of Shopify or any third party — beyond what's explicitly stated. Using our content without authorisation may breach IP law. Any rights not expressly granted here remain ours.
The Fruumo name, logo, and related product names, designs and taglines are trademarks belonging to Fruumo or its affiliates, and using them requires our written consent. Shopify's name and logo belong to Shopify. Any other names or marks on the Services belong to whoever owns them.
7. Third-Party Tools
Some tools accessible through the Services come from third parties we don't control or oversee.
These are offered "as is" and "as available" — no warranties, no endorsements, and no liability on our part for however you choose to use them.
Using any optional third-party tool is entirely your own risk, so it's worth checking that provider's own terms before diving in.
Down the line, we might roll out new tools or features as part of the Services — when we do, they'll be covered by these same Terms.
8. Third-Party Links
You might come across content from, or links to, third-party websites through the Services, including embedded functionality. We don't vet or take responsibility for the accuracy of that third-party material. Clicking through is entirely at your own risk.
We're not liable for any loss or damage tied to your use of third-party sites or anything you buy through them. Before transacting with a third party, read their own policies, and take any complaints or questions directly to them.
9. Relationship with Shopify
Fruumo runs on Shopify's technology, but every purchase you make happens directly with Fruumo. Using the Services means you understand Shopify has no responsibility for the transactions between you and us, including anything to do with injury, damage or loss connected to what you buy. You agree to release Shopify and its affiliates from any claims, damages or liability tied to your dealings with Fruumo.
10. Privacy
Personal information gathered through the Services is handled per our Privacy Policy, and some of it may also fall under Shopify's Privacy Policy. By using the Services, you're confirming you've read both.
Because Shopify hosts our store, they collect and process data about how you use the Services to deliver and improve them. What you submit could be shared with Shopify and partners based outside your own country, so the Services can function properly. Our Privacy Policy goes into more detail on how we — and Shopify and our partners — handle your information.
11. Feedback and Submissions
Send us ideas, reviews, suggestions or any other content ("Feedback"), and you're granting us a permanent, worldwide, royalty-free licence — one we can sub-license — to use, reproduce, modify, publish, distribute and display it however and wherever we like, commercially included, such as running, improving or promoting the Services.
You're confirming: (i) you own the rights to your Feedback, or hold the necessary permissions; (ii) you've disclosed any related compensation or incentive; and (iii) it doesn't break these Terms. We're not obligated to treat your Feedback as confidential, pay for it, or respond to it.
We may — though we don't have to — monitor, edit or take down Feedback we consider unlawful, offensive, defamatory, obscene, or otherwise problematic, or that breaches someone's rights or these Terms.
Your Feedback must not infringe anyone else's rights — copyright, trademark, privacy, whatever — and shouldn't be unlawful, abusive, obscene, or carry viruses or malicious code. Don't misrepresent who you are or where your Feedback came from. You're solely responsible for what you submit and its accuracy; we accept no liability for Feedback you or anyone else posts.
12. Errors and Inaccuracies
Every so often, the Services might contain typos, inaccuracies or missing details around descriptions, pricing, promotions, delivery costs, transit times or stock availability. We reserve the right to fix these errors, update information, or cancel any order affected by them at any point, without prior warning — even after you've placed the order.
13. Acceptable Use
Use the Services lawfully, full stop. You agree not to use them, directly or indirectly, to: (a) do anything illegal or malicious; (b) break any applicable law or regulation; (c) infringe our IP rights or anyone else's; (d) harass, abuse, defame, intimidate or otherwise harm someone; (e) submit false or misleading information; (f) use content that doesn't comply with these Terms; (g) send spam, chain letters or unsolicited junk; (h) impersonate a person or organisation; or (i) act in a way that limits others' use of the Services or exposes us, Shopify or other users to harm or liability.
You also agree not to: (a) upload viruses or malicious code; (b) copy, resell or exploit any part of the Services; (c) collect or track others' personal data; (d) spam, phish, pharm, spider, crawl or scrape; or (e) interfere with or bypass the Services' security or related systems. We can suspend, disable or shut down your account at any time, without warning, if we think you've broken these Terms.
14. Termination
We can end this agreement or cut off your access to the Services (fully or partially) at any time, for any reason, without notice. Any amounts you owe up to that point remain your responsibility.
Certain sections outlive termination: Intellectual Property, Feedback and Submissions, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy, and anything else that naturally should continue past the end of our agreement.
15. Disclaimer of Warranties
Information shared through the Services is for general purposes only. We can't promise it's accurate, complete or useful, and relying on it is at your own risk. We disclaim responsibility for anyone's reliance on that material.
Unless we say otherwise in writing, the Services and everything sold through them come "as is" and "as available" — no warranties or conditions, express or implied, including implied promises of merchantability, satisfactory quality, fitness for purpose, durability, title, or non-infringement. We don't guarantee uninterrupted, secure, timely or error-free use of the Services. Some places don't allow certain warranty exclusions, so parts of this may not apply to you. Nothing here touches your mandatory statutory rights as a consumer.
16. Limitation of Liability
To whatever extent the law allows, neither Fruumo nor our partners, directors, officers, employees, affiliates, agents, contractors, service providers or licensors — nor those belonging to Shopify — will be liable for injury, loss, claims, or any direct, indirect, incidental, punitive, special or consequential damages, including lost profits, revenue, data, or replacement costs, arising from your use of the Services or anything purchased through them, even if we were aware such damages were possible. Nothing here limits or excludes liability that can't legally be limited or excluded, including your statutory consumer rights.
17. Indemnification
You agree to indemnify and hold harmless Fruumo, Shopify, and each of our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers against losses, damages, liabilities or claims (including reasonable legal costs) brought by third parties stemming from: (1) your breach of these Terms or anything they incorporate; (2) your breach of any law or someone else's rights; or (3) your access to or use of the Services.
We'll let you know about any claim we're seeking indemnity for, though a delay in telling you won't free you from your obligations unless it genuinely harms your position. We may take charge of defending and settling such claims at your cost, but won't agree to any settlement that imposes non-monetary obligations on you without your consent (which we won't withhold unreasonably). You agree to cooperate as we defend against these claims.
18. Severability
Should any part of these Terms turn out to be unlawful, void or unenforceable, that part will still apply as far as the law allows, with the unenforceable piece treated as removed. Everything else in these Terms stays valid and enforceable.
19. Waiver and Entire Agreement
Us not enforcing a right or provision in these Terms doesn't mean we've given it up.
These Terms, together with any policies or operating rules we post alongside the Services, make up the complete agreement between you and us about your use of the Services, replacing any earlier agreements or conversations, written or spoken, including previous versions of these Terms. Any unclear wording won't automatically be read against us just because we wrote it.
20. Assignment
You can't transfer, assign or hand off these Terms or your rights and obligations under them without our written consent first — any attempt otherwise is void. We, on the other hand, can transfer, assign or delegate these Terms and our own rights and obligations whenever we like, without needing your consent or even telling you.
21. Governing Law
These Terms, and any separate agreements covering how we provide the Services, are governed by the laws of Belgium, where BS Commerce is based, regardless of conflict-of-law rules. Nothing here removes the mandatory consumer protections you're entitled to under the law where you live — UK-based consumers keep the protections of UK consumer law and can bring proceedings in UK courts wherever the law permits.
22. Headings
Section headings exist purely for convenience and don't affect how these Terms are interpreted.
23. Changes to These Terms
The version of these Terms posted here is always the current one. We may update, change or replace any part at our discretion, and it's on you to check back now and then. Where the law requires it, we'll notify you of significant changes, which take effect on whatever date we specify. Keep using the Services after we've posted changes, and you're accepting the updated Terms.
